          It's 5:30 on a January Tuesday in White River Junction. Four below outside. Inside, the controller wakes every rooftop unit at once, electric reheat kicks in, the roof drain heat tape energizes, and the elevator starts its first run of the day.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          That fifteen-minute window sets your demand charge. In Vermont, it can set it for the next eleven months.

          Green Mountain Power's Rate 8, the general service tariff most small and mid-sized commercial buildings in Norwich, Hartford, Woodstock, and Windsor sit on, bills demand at $22.765 per kW above the first 5 kW. Two ratchets apply. Your billing demand can't drop below 50% of your highest 15-minute peak from the preceding eleven months. And if your December-through-March peak reaches 100 kW or more, billing demand for the following eleven months can't drop below 60% of that winter number.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;

          Run it on a building that peaks at 150 kW that morning:

Peak demand also sizes the block of kWh billed at Rate 8's higher energy tier, so trimming the peak shaves another $200 or so off that same January bill.
         &#xD;
    &lt;/span&gt;&#xD;

If it sits in Norwich, Hartford, Woodstock, Windsor, Hartland, or Thetford, gas isn't an option at any price. Vermont Gas Systems serves Chittenden, Franklin, and Addison counties only. No main is coming to Woodstock.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          So your Vermont buildings run on fuel oil, propane, wood pellet, or electricity, and heating cost per square foot behaves differently than a comparable building four miles away in West Lebanon.

  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;

          New Hampshire side. Gas-to-anything conversions rarely pencil. Your leverage sits in demand charges, controls, and equipment efficiency.

    &lt;br/&gt;&#xD;

          Underwriting a building on one side of the river using operating comps from the other is how owners get surprised by their first February statement.

          Two states, two programs, one deadline

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          Efficiency Vermont and NHSaves both fund commercial work. The rules aren't the same and neither is the paperwork.

  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;

          Vermont. Efficiency Vermont is doubling custom incentives for business projects, up to an additional $25,000, for work completed by November 30, 2026. That's a real deadline on a real calendar. If you've been deferring a controls or HVAC project in Windsor or Woodstock, this is the year to move it.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          New Hampshire. NHSaves custom retrofit incentives run through your utility, and which utility you get depends on the town. Eversource, Liberty, and New Hampshire Electric Co-op all participate, with slightly different applications. Custom incentives are generally the lesser of 35% of installed cost or a buy-down to one-year payback. Large business customers can also access free energy audits and utility-funded technical assistance.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;

Clearing those standards makes you eligible to buy into private offerings that skip full SEC registration — which covers most commercial real estate syndications, private funds, and private placements.

          Why the Rule Exists

          A company that sells stock on a public exchange carries the full disclosure load: registered offering documents, audited financials, quarterly reporting, a daily market price. A private real estate syndication carries almost none of that. You get a private placement memorandum, a set of sponsor projections, and whatever reporting the operating agreement requires.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;

    &lt;span&gt;&#xD;
      
          The SEC's trade for that lighter disclosure is a narrower buyer pool. If an issuer skips registration, it has to limit who can buy.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;

          That trade shows up in the asset itself. Private CRE deals tie up money for years, report on a private schedule, deliver K-1s instead of 1099s, and lean hard on one sponsor executing one business plan. There is no exchange to sell into when you change your mind.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;

    &lt;span&gt;&#xD;
      
          The Financial Tests
         &#xD;
    &lt;/span&gt;&#xD;

          An individual qualifies on financial grounds by meeting either test:

          The primary residence exclusion catches Upper Valley homeowners off guard more than any other rule. Property values in Hanover, Norwich, Lyme, and Woodstock have carried long-tenured owners into seven-figure territory on paper. None of that home equity counts. A paid-off house on the Hanover side of the river and a modest brokerage account will not clear the net worth test, even when the balance sheet looks comfortable.
         &#xD;
    &lt;/span&gt;&#xD;

          It is a registered investment adviser, exempt reporting adviser, or SEC-registered broker-dealer

          Most beginner guides skip this part, and it changes what you should expect to hand over.

          Rule 506(c)

           permits general advertising. In exchange, the sponsor must take reasonable steps to verify your status. The SEC lists methods sponsors may use: reviewing IRS forms that report income, such as a W-2, 1099, Schedule K-1, or 1040; reviewing bank, brokerage, or credit documentation dated within the prior three months alongside a written representation from you; or accepting written confirmation from a registered broker-dealer, SEC-registered investment adviser, licensed attorney, or CPA who verified you within the last three months. Once verified, a written representation covers you with that sponsor for five years, absent information to the contrary.

Concentration risk is the defining feature of small-market commercial real estate.

          The Upper Valley is not one market. It is a dozen small ones stitched together by I-89, I-91, and Route 4, and they behave differently.

            anchor the region. Dartmouth College and Dartmouth Hitchcock Medical Center drive employment, and the demand that flows from them is unusually stable. Inventory is tight and pricing reflects it.

           West Lebanon's Route 12A corridor

            holds most of the region's big-box and highway retail. It is the closest thing the Upper Valley has to a conventional retail submarket.

           White River Junction and greater Hartford, VT

            sit at the interstate crossing with a mix of older commercial stock, arts and food-driven redevelopment, and better price points than the New Hampshire side.

    &lt;/li&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;strong&gt;&#xD;
        
           Woodstock and Norwich, VT

            carry tourism and second-home demand, historic district review, and very little developable commercial land.

          Lease-up assumptions deserve extra scrutiny in this region. The Upper Valley tenant pool is small. A sponsor who plans to backfill 8,000 square feet in Bradford or Enfield in six months should be able to name the type of tenant, the broker relationship, and the comparable deal that supports the rent. "Market demand is strong" is not a plan.

          Section 4: Financial projections

          Projections show income, expenses, NOI, debt service, cash flow, distributions, sale proceeds, IRR, equity multiple, and cash-on-cash return.

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          They are estimates. They are only as reliable as the assumptions underneath them.

          Start with these seven inputs:

That is a market bet, not an operating plan.

          Push on the capex budget second. Renovation costs in the Upper Valley run high. The contractor pool is thin, the labor market is tight, and materials often ship from Manchester, Burlington, or farther. A budget priced off national averages will be short.

  &lt;h2&gt;&#xD;

          Section 5: Debt and financing
         &#xD;

          Debt raises returns and raises risk. Both.

          The deck should state loan amount, interest rate, whether the rate is fixed or floating, term, amortization, maturity date, any interest-only period, lender covenants, and refinance assumptions.

          Debt is the quiet risk. A deal with a solid property and a good business plan can still fail because the loan came due at the wrong moment.

          Regional lending matters here too. Upper Valley deals are often financed by community banks and credit unions rather than national CMBS shops. That usually means shorter terms, recourse, and a relationship-driven process. Ask whether the sponsor has a lender committed or just a term sheet.

          Local operating experience is worth real money in this market. A sponsor who has never worked north of Concord will not know which Hartford parcels sit in the floodplain, how Vermont's Act 250 review affects a change of use, or why a building without municipal sewer in Thetford has a hard ceiling on what it can become. That knowledge does not show up in a track record slide. Ask directly.

          Fees are not a problem by themselves. Sponsors need compensation to operate. The question is whether the sponsor gets paid when investors get paid, or regardless.

          The first real cold snap usually reaches the Upper Valley in mid-January. Somewhere in a Lebanon office building, a tenant unlocks the door at seven in the morning, finds the suite sitting at 58 degrees, and writes an email that will resurface eighteen months later during a renewal negotiation.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          That email is almost never about a broken part. It's about a decision someone made the previous August, or didn't make at all.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          Tenants never see the roof. They don't read service reports or track filter schedules. They feel the air, and from that they decide whether the building is well run. Mechanical discipline is the cheapest tenant retention tool an owner has, and it's the one most often left on the table.

  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          Here's how we handle it.
         &#xD;

    &lt;span&gt;&#xD;
      
          1. Start with an inventory that names every unit
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/h2&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          You can't manage equipment you haven't counted. Before anything else, we build a full mechanical inventory: rooftop units, boilers, chillers, air handlers, VAV boxes, exhaust fans, mini-splits, pumps, controls, and any supplemental equipment a tenant installed and forgot to mention.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          Each unit gets a record. Age, make and model, service history, current condition, warranty status, which vendor owns it, and which tenant spaces it serves.
         &#xD;

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          That last field matters more than owners expect. When a 22-year-old rooftop unit fails, the question isn't just "what does it cost to replace." It's "whose lease is affected, and how long can they operate without it." A building with a clean inventory answers that in a minute. A building without one spends two days figuring it out while a tenant sits in the cold.
         &#xD;
    &lt;/span&gt;&#xD;

          2. Remember that Upper Valley buildings run on delivered fuel
         &#xD;

          This is where New England HVAC diverges from most of the country, and it's the part national vendors consistently miss.

          There's no natural gas distribution here. Vermont Gas Systems is the state's only natural gas utility, and its territory covers Addison, Chittenden, and Franklin counties, nowhere near Windsor or Orange. On the New Hampshire side, Liberty Utilities serves roughly 30 communities along the I-93 corridor plus Berlin and Keene, while Northern Utilities covers the seacoast and southeast. Hanover, Lebanon, Claremont, and Newport sit outside both.
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          So commercial buildings from Bradford down to Windsor heat with propane, fuel oil, electricity, wood, or some combination. That changes the management job in concrete ways:
         &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;ul&gt;&#xD;
    &lt;li&gt;&#xD;
      &lt;strong&gt;&#xD;
        
           Tank capacity becomes a design constraint.

          "Routine maintenance" is not a scope. It's a phrase vendors use to keep their obligations flexible.

          Most buildings log HVAC complaints as isolated tickets. Someone was cold, someone fixed it, ticket closed. That approach throws away the most useful diagnostic data a building produces.

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
          We record which tenant reported the issue, the affected zone, time of day, outdoor conditions, whether it's recurring, and what corrective action was taken.

          One complaint from a corner office in February means very little. Patterns show up long before equipment does, and they're cheap to act on when you catch them early.

          Tenants read that as neglect. They don't know the boiler and the chiller can't run simultaneously.

Good communication doesn't fix a two-pipe system. It does stop a mechanical limitation from being experienced as a management failure.

          A surprising share of comfort complaints have nothing to do with equipment condition. The equipment is fine. It's being told to do the wrong thing.

    &lt;span&gt;&#xD;
      
          We look for incorrect schedules, overridden thermostats, failed or drifting sensors, simultaneous heating and cooling, poor setback configuration, zones fighting each other, and controls that were never recalibrated after the last upgrade.

          We use HVAC service data to build the capital plan, weighing equipment age, repair frequency, tenant impact, efficiency decline, parts availability, downtime risk, replacement cost, and lease expiration timing.
         &#xD;

          The goal is simple: replace equipment on your schedule instead of the weather's.
